Welcome to NuEden Apparel. In these Terms of Service, “NuEden,” “we,” “us,” and “our” mean NuEden Apparel.

NuEden is an apparel and creative expression space rooted in self-definition, integrity, and the freedom to show up fully as yourself. We operate this website, store, and the related content, features, tools, products, and services made available through them (collectively, the “Services”). Our store is powered by Shopify, which helps us offer the Services to you.

These Terms of Service, along with the policies referenced here, explain the shared expectations, rights, and responsibilities that apply when you visit, browse, interact with, or make a purchase through NuEden.

If you do not agree, please do not use the Services.

1. Access and accounts

By using the Services, you confirm that you are at least the age of majority where you live. If you allow a minor dependent to use the Services on a device you own, purchase, or manage, you confirm that you have given permission for that use.

To browse, create an account, or make a purchase, we may ask for information such as your name, email address, payment details, billing address, and shipping address. You agree to provide information that is accurate, current, and complete, and you confirm that you have the right to provide it.

You are responsible for safeguarding your account credentials and for activity that takes place through your account. Please do not sell, transfer, assign, or license your account to another person.

2. Products and presentation

We make every reasonable effort to represent our products honestly and accurately. Still, colors, textures, sizing appearance, and other visual details may look somewhat different depending on your device, display settings, and lighting.

We cannot guarantee that every product will look exactly as it appears on your screen or meet every individual expectation. Product descriptions, availability, and specifications may change as our collections evolve.

NuEden may discontinue a product or limit quantities offered to a person, region, or jurisdiction when necessary.

3. Orders

When you submit an order, you are making an offer to purchase the selected item or items. An order is accepted only when NuEden confirms its acceptance and your payment has been processed.

Please review your order carefully before placing it. Once an order has been accepted, we may not be able to accommodate a cancellation or change request. If we decline, change, or cancel an order, we will make a reasonable effort to contact you using the email address, phone number, or billing information provided at checkout.

Purchases are intended for personal or household use only. You may not purchase NuEden products for unauthorized commercial resale or export.

4. Prices and payment

Prices, promotions, and discounts may change without notice. The amount charged for a product or service is the price shown at the time you place your order and will be reflected in your order confirmation.

Unless we clearly state otherwise, prices do not include applicable taxes, shipping, handling, customs duties, or import charges. Prices on the NuEden site may differ from prices offered through physical retail locations or third-party platforms.

From time to time, NuEden may offer promotions subject to separate terms. If a promotion’s terms conflict with these Terms, the promotion terms will apply.

You agree to provide accurate, complete, and up-to-date payment, purchase, and account information. By making a purchase, you confirm that you are authorized to use the chosen payment method and that you will pay all applicable charges, including shipping, handling, and taxes.

5. Shipping and delivery

We want your order to arrive safely and with care. Shipping and delivery timeframes are estimates, not guarantees, and may be affected by carriers, customs processing, weather, or other events outside NuEden’s control.

NuEden is not responsible for carrier delays or delivery interruptions once an order has been transferred to the shipping carrier. At that point, title to and risk of loss for the products pass to you.

6. Creative work and intellectual property

NuEden’s name, designs, product names, visuals, artwork, text, photographs, graphics, audio, video, branding, and overall creative expression are part of the NuEden world. They are owned by NuEden Apparel, our affiliates, licensors, or other rights holders and are protected by applicable intellectual-property laws.

You may use the Services for personal, non-commercial purposes only. Unless we give you written permission, you may not copy, reproduce, republish, distribute, sell, modify, display, create derivative works from, download, store, transmit, or commercially use any part of the Services or NuEden creative work.

Nothing in these Terms grants you ownership of, or a license to use, NuEden’s intellectual property, Shopify’s intellectual property, or any third party’s intellectual property except as expressly stated. All rights not expressly granted are reserved.

7. Optional tools

The Services may provide access to tools or features made available by third parties. NuEden does not control, monitor, or endorse those tools.

Third-party tools are provided “as is” and “as available,” without warranties or guarantees from NuEden. Your use of them is your choice and responsibility, so please review the relevant provider’s terms and policies before using them.

If we introduce new features, tools, or resources in the future, they will also be part of the Services and subject to these Terms.

8. Third-party links

The Services may include links to third-party websites, content, or embedded functionality. These links are offered for convenience or reference; they do not mean that NuEden endorses or controls those third parties.

If you leave our site or use a third-party service, you do so at your own discretion and risk. NuEden is not responsible for the content, practices, availability, products, services, or transactions of third parties. Please read their policies before engaging with them.

9. Relationship with Shopify

NuEden Apparel is powered by Shopify, which enables us to provide the Services to you. However, purchases made through our store are made directly with NuEden Apparel.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales or purchases between you and NuEden Apparel, including injury, damage, or loss related to products or services purchased from NuEden. You release Shopify and its affiliates from claims, damages, and liabilities arising from or related to transactions with NuEden Apparel.

10. Privacy

The personal information we collect through the Services is governed by our Privacy Policy: → Privacy Policy. Certain information may also be governed by Shopify’s Privacy Policy, available at: https://www.shopify.com/legal/privacy/app-users.

Because our store is hosted by Shopify, Shopify may collect and process personal information related to your access to and use of the Services in order to operate and improve them. Information you provide may be shared with Shopify and other service providers, including those located in countries other than where you live, as needed to provide the Services.

11. Feedback and community contributions

We welcome thoughtful feedback. If you submit ideas, suggestions, reviews, proposals, comments, plans, or other materials to NuEden (“Feedback”), you grant NuEden a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, display, and otherwise use that Feedback in any medium, including for commercial purposes.

This helps us operate, refine, grow, and share NuEden. We are not required to keep Feedback confidential, compensate you for it, or respond to it.

You confirm that you own or have the necessary rights to the Feedback you submit; that you have disclosed any compensation or incentive connected to it; and that it does not violate another person’s rights or any applicable law. Feedback must not contain unlawful, harmful, abusive, defamatory, obscene, deceptive, or malicious material, including viruses or malware.

We may remove or edit Feedback that we believe violates these Terms, another person’s rights, or the safety and integrity of this space.

12. Corrections and updates

From time to time, the Services may contain typographical errors, inaccuracies, or omissions relating to products, prices, promotions, shipping charges, transit times, availability, or other information.

NuEden may correct errors, update information, or cancel orders when information is inaccurate, including after an order has been submitted. We will make reasonable efforts to communicate material order changes when they occur.

13. Respectful and lawful use

NuEden is built as a space for expression, creativity, and mutual respect. You may use the Services only for lawful purposes and in ways that do not harm, exploit, deceive, or interfere with others.

You may not use the Services to violate laws; infringe intellectual-property rights; harass, abuse, threaten, defame, discriminate against, or harm others; impersonate another person or entity; submit false or misleading information; distribute spam or unsolicited promotions; introduce viruses or malicious code; collect other people’s personal information; scrape, extract, reproduce, resell, or exploit the Services without permission; or bypass our security, access controls, or technical safeguards.

You may not use automated systems, robots, spiders, scrapers, data-gathering tools, agentic AI, or similar methods to access or interact with the Services unless we have expressly authorized that use in writing.

We may suspend, restrict, or terminate access to the Services when we reasonably believe these Terms have been violated.

14. Automated agents

These Agent Terms apply if you use, allow, enable, or cause an automated or semi-automated software tool, service, or system (“Agent”) to access, use, or interact with the Services on behalf of a person or entity.

An Agent may access the Services only if it clearly identifies itself at all times and complies with the requirements below. An Agent must not access or interact with the Services if NuEden has asked it to stop.

NuEden may limit or control Agent access through technical or other reasonable measures. Any Agent accessing the Services must:

identify itself in every HTTP/HTTPS request using the format “Agent/[agent name]” in its user-agent string;
never conceal or misrepresent its automated nature;
never mimic human behavior to evade detection or bypass CAPTCHAs and similar safeguards;
answer truthfully when asked whether an interaction is generated by a human or computer system; and
never bypass controls intended to limit, block, or manage Agent access.

15. Termination

NuEden may suspend or end your access to all or part of the Services at any time, at our discretion, including when we believe these Terms have been violated. You remain responsible for amounts owed through the date of termination.

Sections concerning intellectual property, feedback, termination, disclaimers, limitations of liability, indemnification, severability, waiver, entire agreement, assignment, governing law, privacy, and any provisions that should reasonably survive termination will continue to apply after termination.

16. Disclaimer of warranties

The Services and the information made available through them are provided for general informational and shopping purposes. While we strive for accuracy and care, we do not guarantee that all information will always be complete, current, or error-free. Your use of the Services is at your own risk.

TO THE FULLEST EXTENT ALLOWED BY LAW, UNLESS NUEDEN EXPRESSLY STATES OTHERWISE, THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES, REPRESENTATIONS, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED. THIS INCLUDES IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted, timely, secure, or error-free access to the Services. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.

17. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NUEDEN APPAREL, ITS PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS, AS WELL AS SHOPIFY AND ITS AFFILIATES—WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL LOSS, DAMAGE, INJURY, CLAIM, OR EXPENSE ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES OR PRODUCTS PURCHASED THROUGH THEM.

This includes, without limitation, lost profits, lost revenue, lost savings, lost data, replacement costs, or similar damages, whether the claim arises in contract, tort, negligence, strict liability, or another legal theory, even if we were advised that such damages might occur.

18. Indemnification

You agree to indemnify, defend, and hold harmless NuEden Apparel, Shopify, and their respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from claims, losses, damages, liabilities, and reasonable attorneys’ fees arising from your violation of these Terms, violation of applicable law, violation of another person’s rights, or misuse of the Services.

We will notify you of a claim covered by this section when reasonably possible. We may control the defense and settlement of a claim at your expense, but we will not settle a claim that requires non-monetary obligations from you without your consent, which will not be unreasonably withheld.

19. Severability

If any part of these Terms is found unlawful, void, or unenforceable, that part will be enforced to the fullest extent permitted by law. The remaining provisions will remain valid and enforceable.

20. Waiver and entire agreement

If NuEden does not enforce a provision of these Terms at one time, that does not mean we waive the right to enforce it later.

These Terms, together with the policies and rules posted on the Services, are the complete agreement between you and NuEden regarding your use of the Services. They replace prior or contemporaneous communications, agreements, and understandings related to the Services.

21. Assignment

You may not transfer or assign your rights or obligations under these Terms without NuEden’s prior written consent. Any attempted transfer without consent is void.

NuEden may transfer or assign these Terms and our rights or obligations without notice or consent.

22. Governing law

These Terms and any separate agreements through which NuEden provides Services will be governed by the laws applicable in the jurisdiction where NuEden Apparel is headquartered, without regard to conflict-of-law principles.

You and NuEden consent to the venue and personal jurisdiction of the applicable federal, state, or territorial courts in that jurisdiction.

23. Headings

Headings are included for ease of reading only. They do not change the meaning or interpretation of these Terms.

24. Changes to these terms

The current version of these Terms will always be available on this page.

NuEden may update these Terms as our store, offerings, technology, or legal obligations evolve. When legally required, we will provide notice of material changes and identify the effective date. By continuing to use the Services after updated Terms take effect, you accept those changes.
